Alexis K. McGann is an associate in the Corporate and Real Estate & Lending practice groups, where she advises clients on a wide range of corporate and real estate matters, delivering tailored solutions to meet each client’s unique needs. With a strong background in mergers and acquisitions, Alexis provides strategic legal counsel to businesses, investors, and developers across multiple industries. She has experience drafting complex commercial contracts and leases, handling real estate acquisitions and dispositions, and navigating due diligence in high-level M&A and commercial real estate transactions. Alexis’ comprehensive understanding of both corporate and real estate law allows her to effectively manage multifaceted transactions, ensuring successful outcomes for clients.
Born and bred in Pittsburgh, Alexis loves nothing more than exploring her home city with her husband and two children.
Complimenting her business practice, in her Real Estate practice, Alexis acts for a broad range of clients including large property investors, corporate and retail occupiers and financial institutions. She has experience in all types of property transactions including development work, investment sales, acquisitions and dispositions, commercial leasing, and advising corporate partners on all property aspects.
- Regularly represents buyers or sellers in the negotiation, structuring, and execution of asset or equity purchase agreements, which include provisions related to shareholder rights, management, and governance.
- Drafting and negotiating asset purchase agreements, including specific terms related to the real estate assets, such as warranties and representations related to title, encumbrances, environmental conditions, zoning, and compliance with lease obligations.
- Drafts and negotiates a variety of commercial contracts, including consulting, services, and licensing agreements.
- Drafts and negotiates commercial lease agreements on behalf of landlords and tenants, including office, retail, and industrial leases, as well as ancillary occupancy license and access agreements, and advise landlords and tenants on rights and obligations under such agreements.
- Conducts comprehensive due diligence for clients, particularly in deals involving substantial real estate assets, including title reviews, zoning, land use restrictions, and environmental matters.
- Advises clients on corporate governance issues and day-to-day operations, including drafting complex multi-member operating agreements and shareholder agreements.
- Counsels clients on contract enforcement and dispute resolution.
- Reviews and resolves title issues, encumbrances, and easement matters.
